Effective Date: October 1, 2026

We are Shลka Health, LLC (โ€œShลka,โ€ โ€œwe,โ€ โ€œour,โ€ or โ€œusโ€), a Georgia limited liability company. Shลka provides intravenous ketamine infusion therapy, stellate ganglion blocks, physician-directed wellness infusions, and related services. We operate the website at www.shokahealth.com (the โ€œWebsiteโ€).

These Terms & Conditions (โ€œTermsโ€), together with our Privacy Policy and Notice of HIPAA Privacy Practices, set out the terms on which we allow you to access and use the Website. By accessing, browsing, or otherwise using the Website, you accept these Terms and our Privacy Policy. If you do not accept these Terms, you should not use the Website. Where we refer to โ€œyouโ€ or โ€œyour,โ€ we mean the person accessing or using the Website.

PART A โ€” GENERAL TERMS OF USE

A.1 The Website

A.1.1 The Website is made available free of charge. We do not guarantee that the Website, or any content on it, will always be available or uninterrupted. Access is permitted on a temporary basis. We may suspend, withdraw, discontinue, or change all or any part of the Website without notice, and we will not be liable to you if the Website is unavailable at any time or for any period. We may update the Website and change its content at any time.

A.1.2 You are responsible for making all arrangements necessary to access the Website, and for ensuring that anyone who accesses the Website through your internet connection is aware of these Terms and complies with them.

A.1.3 We do not guarantee that the Website, or any content on it, will be free from errors or omissions. We use reasonable efforts to include only accurate and current information; however, we make no representations, warranties, or guarantees, whether express or implied, concerning that information.

A.1.4 Content on the Website, including blog posts, patient education material, and linked resources, does not necessarily reflect the official policy or position of Shลka.

A.2 Not Medical Advice; No Physician-Patient Relationship; Emergencies

A.2.1 The Website and its content are provided for general information purposes only. They are not intended to amount to medical, legal, or other professional advice on which you should rely, and they are not a substitute for evaluation and treatment by a qualified healthcare provider who knows your history. You should obtain professional advice before taking, or refraining from, any action on the basis of content on the Website, and you should consult your own healthcare provider before following any information here.

A.2.2 Viewing the Website, submitting a consultation request, or corresponding with us does not create a physician-patient relationship. That relationship begins only when you are formally accepted as a patient and complete our intake and consent process.

A.2.3 Information on the Website about ketamine infusion therapy, stellate ganglion blocks, wellness infusions, and emerging psychedelic treatments describes treatments that may help some patients. Individual results vary, no outcome is guaranteed, and not every person is an appropriate candidate. Candidacy is determined only after medical evaluation.

A.2.4 The Website is not for medical emergencies. If you are experiencing a medical or psychiatric emergency, call 911 or go to the nearest emergency room. If you are in crisis or having thoughts of harming yourself, call or text 988 (Suicide & Crisis Lifeline). Do not use website forms, email, or social media to communicate an emergency โ€” these channels are not monitored continuously.

A.3 Our Intellectual Property Rights

A.3.1 We are the owner or licensee of all intellectual property rights in and to the Website and its content, including the Shลka and Shลka Health names and marks. Those works are protected by copyright and trademark laws. All rights are reserved.

A.3.2 You are not granted any right to use our intellectual property other than as set out in these Terms. You may download material from the Website solely for your own non-commercial, personal use. You must not use the Website or its content for commercial purposes.

A.3.3 No part of the Website โ€” including text, designs, graphics, photographs, images, and video โ€” may be copied, reproduced, republished, uploaded, re-posted, modified, transmitted, or distributed, or otherwise used for any non-personal, public, or commercial purpose, without our prior written consent.

A.4 Restrictions and Commercial Use

Except as expressly permitted in these Terms, you may not copy, create derivative works from, resell, distribute, or make any commercial use of any content, materials, or databases from the Website or our systems. This includes use of our content to train, fine-tune, or develop any machine learning or artificial intelligence system without our prior written consent.

A.5 Privacy

By using the Website, you confirm that you have reviewed and understand our Privacy Policy, available here, which explains what information we collect and how we use and share it. Protected Health Information created or received in the course of treatment is governed by our separate Notice of HIPAA Privacy Practices, available here, and available to you upon your intake appointment.

A.6 Prohibited Uses, Content, and Activities

In addition to the other restrictions in these Terms, you are prohibited from using the Website or its content:

  • (a) for any unlawful purpose;

  • (b) to solicit others to perform or participate in any unlawful acts;

  • (c) to violate any international, federal, state, or local regulation, rule, law, or ordinance;

  • (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

  • (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate on the basis of gender, sexual orientation, gender identity, religion, ethnicity, race, age, national origin, disability, or any other protected characteristic;

  • (f) to submit false or misleading information, or to impersonate any person or entity;

  • (g) to upload or transmit viruses or any other type of malicious code that will or may affect the functionality or operation of the Website, any related website, or the internet;

  • (h) to collect or track the personal or health information of others, including other patients;

  • (i) to spam, phish, pharm, pretext, spider, crawl, or scrape;

  • (j) for any obscene or immoral purpose; or

  • (k) to interfere with or circumvent the security features of the Website, any related website, or the internet.

We reserve the right to terminate your use of the Website for violating any of these prohibited uses. Please also do not post another person's personal or health information, and avoid posting your own sensitive health information in any public area of the Website or our social media channels.

A.7 Security and Viruses

A.7.1 We do not guarantee that the Website will be secure or free from bugs or viruses. You are responsible for configuring your own information technology, computer programs, and platforms to access the Website, and we recommend that you use your own virus protection software.

A.7.2 You must not misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful. You must not attempt to gain unauthorized access to the Website, the server on which it is stored, or any server, computer, or database connected to it. You must not attack the Website by means of a denial-of-service or distributed denial-of-service attack. Doing so may constitute a criminal offense under the federal Computer Fraud and Abuse Act and the Georgia Computer Systems Protection Act. We will report any such breach to the relevant law enforcement authorities and will cooperate with them, including by disclosing your identity. In the event of such a breach, your right to use the Website ceases immediately.

A.8 Links to Other Websites

We may provide links to other websites or resources for your convenience only. Such links do not signify or imply that we endorse those websites or resources or their contents, over which we have no control and which we do not monitor. You use those links at your own risk and should apply reasonable caution and discretion. We have no responsibility or liability for any information, software, or materials found at any other website or resource.

A.9 Social Media

We operate social media accounts, including @shokahealth on Instagram and a Shoka Health Facebook page (collectively, the โ€œSocial Media Channelsโ€). Our goal is to share useful and interesting content related to Shลka and to interventional mental health care. Your use of our Social Media Channels is subject to these Terms and our Privacy Policy, as well as the terms and policies of the platform you are using.

A.9.1 Grant of License

(a) By commenting, posting, tagging, or uploading a photo, video, review, or other content (the โ€œAssetsโ€) to any of our Social Media Channels, with or without a Shลka hashtag and with or without tagging our accounts, you grant Shลka a non-exclusive, fully paid, royalty-free, transferable, sublicensable, worldwide, perpetual license to use, copy, reproduce, adapt, modify, publish, transmit, display, distribute, and create derivative works from the Assets, in any media now known or later developed, in connection with Shลka.

(b) You also grant us permission to use, and to authorize others to use, your name or social media handle in association with the Assets for identification, publicity, or promotional purposes.

(c) Any content you submit to our Social Media Channels is public and places us under no obligation to you. We are free to use the ideas contained in that content on a non-confidential basis without liability to you.

(d) Please do not use our Social Media Channels to submit unsolicited ideas. If you do, you understand that you have no ownership rights in those ideas, that we will not compensate you for them, and that we do not waive any right to use similar or related ideas already known to us, developed by our team, or obtained from other sources.

(e) You represent and warrant that: (i) you own the Assets or otherwise have the right to grant the licenses in these Terms; (ii) posting and use of your Assets does not violate, misappropriate, or infringe the rights of any third party, including privacy rights, publicity rights, copyrights, and trademark or other intellectual property rights; and (iii) you have the legal right and capacity to agree to these Terms.

(f) You release Shลka and its agents, affiliates, and assignees from any and all claims for damages of any kind resulting from use of the Assets, and you will defend and hold them harmless from any claims arising from them. You waive any right to inspect or approve such uses.

(g) If you ask us not to use or to remove a specific post, we will make reasonable efforts to honor that request going forward, though we cannot guarantee removal from content already shared, reposted, or cached elsewhere.

(h) If you are a current or former patient, please be aware that publicly posting about your care may reveal your own health information. We will not confirm, deny, or discuss whether any individual is a patient in any public forum, including in replies to reviews. Any use by us of a patient story, image, or testimonial will be handled through a separate written authorization, not through this license.

A.9.2 Our Rights to the Social Media Channels

(a) We reserve all rights relating to our Social Media Channels, including the right to add, remove, modify, or delete any content, to block disruptive users, and to discontinue any channel at any time. We do not represent that information on our Social Media Channels is accurate, complete, reliable, useful, timely, or current. You read all content at your own risk.

(b) We may, in our sole discretion, delete content that is inconsistent with the purpose of our channels, and may block any user who fails to follow these Terms. Examples of inappropriate or off-topic content include:

  • Defamatory, malicious, obscene, intimidating, discriminatory, harassing, or threatening comments, or hate propaganda;

  • Activity that violates any law or regulation;

  • Attempts to market goods or services to us or our followers, whether commercial or private;

  • Spam directed at us or our followers, including automatically generated content or repeatedly posting the same content;

  • Unsolicited or unverified medical or legal advice;

  • Content promoting an unapproved use of our services or that is otherwise false or misleading;

  • Content that may infringe intellectual property rights, including brand names, trade names, logos, copyrights, or trade secrets; and

  • Content posted by fake or anonymous accounts.

A.9.3 Disclaimer

We do not create, control, represent, or endorse opinions or statements expressed by others on our Social Media Channels, including by accounts that follow us or that we follow. Content posted by anyone other than Shลka is the responsibility of the person who submitted it. Links that take you outside our channels are not under our control, and we are not responsible for the terms, privacy practices, or content of those sites. Our following, liking, sharing, or re-posting another account's content does not constitute an endorsement. All terms and policies of the underlying social platforms apply.

A.10 Disclaimer of Warranties

A.10.1 You expressly agree that your use of the Website is at your sole risk. We provide the Website on an โ€œas isโ€ and โ€œas availableโ€ basis. To the fullest extent permitted by law, we expressly disclaim all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular use or purpose, and non-infringement, and any warranty that all information provided is accurate and reliable. We make no warranty that the Website will meet your requirements, or that it will be error-free, uninterrupted, timely, secure, or free of viruses or other harmful components, or that defects will be corrected. You understand that any material or information you download or otherwise obtain through the Website is obtained at your own discretion and risk, and that you are solely responsible for any resulting damage. No advice or information, whether oral or written, obtained by you from us or through the Website creates any warranty not expressly made in these Terms.

A.10.2 You represent and warrant to us that your acceptance and performance of these Terms will not violate any law, ordinance, charter, by-law, or rule applicable to you, or any other agreement by which you are bound.

A.11 Exclusive Remedy and Limitation of Liability

A.11.1 Nothing in these Terms excludes or limits our liability for:

  • (a) death or personal injury caused by our negligence;

  • (b) fraud or fraudulent misrepresentation; or

  • (c) any matter in respect of which it would be unlawful for us to exclude or restrict our liability.

A.11.2 Subject to Section A.11.1, we will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: (a) use of, or inability to use, the Website; or (b) use of or reliance on any content displayed on the Website.

A.11.3 We assume no responsibility for the content of websites linked from the Website. Such links should not be interpreted as an endorsement by us of those linked websites. We will not be liable for any loss or damage arising from your use of them.

A.11.4 To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Website will not exceed the amount, if any, you paid us for access to the Website. Because access to the Website is provided free of charge, this amount is $0.

A.12 Indemnification

You agree to indemnify, defend, and hold harmless Shลka and its members, managers, officers, employees, consultants, subcontractors, affiliates, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Website, including by anyone using your device or account. We reserve the right, at our own expense but subject to reimbursement from you, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

A.13 Accessibility

Shลka is committed to making our website and our care accessible to everyone, including people with disabilities. We work to keep our site usable and understandable, and we welcome feedback on where we can do better. If you have difficulty accessing any information on this website, or need it provided in another format, please contact us by email at hello@shokahealth.com and we will be glad to assist you and provide the information you need.

A.14 Changes to or Termination of These Terms

We may change these Terms from time to time and may notify you of changes by any reasonable means, including by posting a revised version with a new Effective Date. If you object to a change, your sole recourse is to stop using the Website. Your continued use of the Website following notice of a change indicates your acceptance of it.

A.15 Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. You and we agree that the state and federal courts located in Fulton County, Georgia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Website.

Patients: Disputes relating to medical care are governed by the legal agreement in our patient intake and consent packet, signed before initiating any treatment.

A.16 Integration and Severability

These Terms, together with the Privacy Policy and Notice of HIPAA Privacy Practices referenced in them, constitute the entire agreement between you and us regarding the Website, superseding any prior or contemporaneous communications and proposals, whether oral, written, or electronic. If any provision is held invalid, void, or illegal by a court of competent jurisdiction, it will be severed from the remainder of these Terms and will not affect, impair, or invalidate any other provision. If a provision is deemed invalid because of its scope or breadth, it will be valid to the extent of the scope or breadth permitted by law. Any ambiguity will not be construed against the drafting party.

A.17 No Waiver

Our failure to enforce any provision of these Terms, or to respond to a breach by you or others, does not waive our right to enforce any term subsequently or to act with respect to similar breaches.

A.18 Assignment

You may not assign these Terms or any rights or obligations under them without our prior written consent, and any attempted assignment in violation of this section is void. We may assign these Terms and any of our rights or obligations under them. These Terms bind each party and its respective successors, heirs, trustees, administrators, executors, and permitted assigns.

A.19 Separate Terms and Conditions

In connection with your use of the Website, you may be asked to agree to additional terms โ€” for example, when creating a patient portal account or completing intake forms. Please read any supplemental terms before using those portions of the Website. Supplemental terms do not change or replace these Terms unless expressly stated.

A.20 Contacting Us

If you have questions about the Website or these Terms, please contact us at hello@shokahealth.com

PART B โ€” MEDICAL & TELEHEALTH TERMS OF SERVICE

These Medical & Telehealth Terms govern your use of the medical and telehealth services we provide (the โ€œMedical Servicesโ€). Please refer to our Notice of HIPAA Privacy Practices to learn how we collect, use, share, and protect your Protected Health Information as defined under HIPAA.

Do not use the Medical Services for emergency or urgent medical matters. For all urgent or emergency matters, call 911 or go to the nearest emergency room immediately. If you are in a mental health crisis, call or text 988.

B.1 Financial Responsibility

You agree to pay all charges at the prices then in effect for the Medical Services, and you authorize us to charge your chosen payment method. If your payment method is invalid when payment is due, you agree to pay all amounts due upon demand. We reserve the right to correct billing errors even after payment has been requested or received. Our services are provided on a self-pay basis; HSA/FSA payment may be accepted where applicable, and a superbill can be provided on request for you to submit to your insurer for possible out-of-network reimbursement. Reimbursement depends on your plan and is not guaranteed.

B.2 Missed and Cancelled Appointments

Appointments must be cancelled or rescheduled at least 48 hours in advance. Cancellations within 48 hours may be charged 50% of the appointment fee, and cancellations within 24 hours or failure to attend may be charged IN FULL.

B.3 Permission to Treat

You give permission for us to medically evaluate and treat you. You may withdraw consent at any time by no longer seeking the Medical Services from us. You understand that, as part of providing the Medical Services, your Protected Health Information, including test results, may be released to an online personal health record in accordance with our Notice of HIPAA Privacy Practices. Specific procedures and treatments, including, but not limited to, ketamine infusion therapy and stellate ganglion blocks, require separate, procedure-specific informed consent obtained before treatment.

B.4 Consent to Electronic Communications

You agree that we may send information to you by email or through the Osmind patient portal, and, where you have opted in, by text message. If you later decide you do not want to receive certain communications electronically, you may email us at hello@shokahealth.com or contact us at our office at 6667 Vernon Woods Drive NE, Suite A40, Sandy Springs, GA 30328. You may also opt out through your account or follow the unsubscribe instructions in the communication. Withdrawal of consent takes effect within a reasonable time after we receive your notice and may affect our ability to serve you.

B.5 Telehealth Services

We may provide telehealth services to you (โ€œTelehealth Servicesโ€). โ€œTelehealthโ€ means the delivery of healthcare services using technology when the provider and patient are not in the same physical location. Telehealth Services may be used for evaluation, treatment, care, follow-up, and patient education, and may include electronic transmission of medical records and other patient data, and real-time or non-real-time interactions by audio, video, text, or other electronic means.

You consent to receive communications from us pertaining to your care and health, which may include Protected Health Information, through these channels, and you give us permission to record and process your personal information and medical data as part of your care. You may withdraw that permission at any time by no longer seeking Telehealth Services.

You understand that your condition may not be treatable by telehealth, and that information transmitted may be insufficient or of inadequate quality to allow appropriate medical decision-making. You may therefore be required to seek additional in-person care, alternative care, or emergency services. If your condition persists after a telehealth encounter, you will promptly contact your provider and seek appropriate in-person or emergency care.

B.6 Mental Health Disclaimer

Mental health care may involve discussing sensitive aspects of your life, in person or by telehealth. If at any point you experience significantly increased distress or have thoughts of harming yourself or others, seek immediate help by calling or texting 988, or calling 911, and notify your primary mental health provider so that an appropriate level of support can be arranged. We maintain referral relationships and crisis resources to support patients whose symptoms worsen during the course of treatment.

B.7 Disclaimer and Limitation of Liability

B.7.1 To the maximum extent not prohibited by law, and except in cases of negligence or willful misconduct, we and our affiliates, providers, employees, officers, managers, members, and agents will not be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of or inability to use the Medical Services.

B.7.2 To the maximum extent not prohibited by law, in no event will we or our affiliates, providers, employees, officers, managers, members, or agents be liable for any consequential, exemplary, incidental, special, or punitive damages, including those relating to lost profits or the cost of substitute products or services, arising out of or in connection with the Medical Services or from the use of or inability to use them, whether based on contract, warranty, product liability, tort, or any other legal theory, and even if we have been informed of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above exclusion may not apply to you.

B.8 Geographic Scope

The Medical Services are intended for use only within the United States and its territories. We make no representation that they are appropriate or available for use outside the United States. Those who access them from outside the United States do so on their own initiative, at their own risk, and are responsible for compliance with applicable local laws.

B.9 Termination

You may terminate your use of the Medical Services at any time by no longer using them. We may terminate your use of the Medical Services at any time, consistent with our professional and ethical obligations regarding continuity of care and appropriate notice.

B.10 General Provisions

We may change, suspend, or discontinue any of the Medical Services at any time. We will try to give prior notice of material changes. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Medical Services. These Medical & Telehealth Terms continue in effect after termination of the Medical Services.
